Article 435. Offer.
1. Offer is recognized as a proposal addressed to one or several particular persons that is sufficiently specific and demonstrates the intent of the offeror to consider himself having entered an agreement with the offeree who is willing to accept the offer. The offer must contain essential terms and conditions of the agreement.
2. Offer binds the offeror upon the receipt thereof by the offeree. Should a withdrawal notice be received earlier than or contemporaneous with the offer itself, the offer will be considered not received.
Article 437. Invitation to make offers. Public offer.
1. Advertisement and other proposals addressed to indeterminate groups of people are considered invitations to make offers, if the offer does not directly specify otherwise.
2. An proposal that containins all essential terms of an agreement and demonstrates the willingness of the offeror to enter the agreement on terms and conditions specified in the offer with any respondent is considered an offer (public offer).
